    1) Introduction

    These Terms of Service ("Terms") govern all sales of goods and provision of services by SmartTechHub Limited ("SmartTechHub", "we", "us", "our"). By engaging SmartTechHub, accessing our website, or purchasing our products or services, you agree to these Terms.

    If you are entering into these Terms on behalf of a company or organisation, you represent that you have authority to bind that entity.

    3) Scope of Services

    SmartTechHub provides professional IT and AV solutions, including but not limited to:

    • IT asset recycling and refurbishment.
    • Supply of refurbished and new IT equipment.
    • Microsoft 365, networking, and cybersecurity support.
    • Meeting room installations, AV systems, and equipment hire.
    • Data destruction and compliance services.

    All services are delivered with reasonable care, skill, and diligence, consistent with industry standards.

    4) Quotations & Orders

    • All quotations are provided in writing and are valid for 14 calendar days, unless stated otherwise.
    • Orders are confirmed only upon written acceptance or purchase order received from the client.
    • No verbal or informal commitment shall be binding unless confirmed in writing.
    • Any variations, additional work, or scope changes must be agreed in writing and may incur additional charges.

    5) Payment Terms

    Payment terms are agreed individually with each client and confirmed in writing prior to work commencing.

    • For first-time clients, payment is typically required in full upfront (pro forma basis).
    • Credit terms may be offered at SmartTechHub's discretion, subject to a satisfactory credit review and ongoing account performance.
    • For project-based work, invoices must be settled within 14 days of issue unless otherwise specified in the project agreement.

    SmartTechHub reserves the right to:

    • Suspend or withhold delivery or services in the event of late payment.
    • Revoke any credit facilities without prior notice.
    • Charge statutory late payment interest and recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998.

    All prices exclude VAT unless stated otherwise. Title to goods remains with SmartTechHub until payment is received in full. Risk transfers to the client upon delivery or installation.

    6) Delivery, Access & Site Conditions

    • SmartTechHub will use all reasonable endeavours to meet agreed timelines, but time is not of the essence unless specifically confirmed in writing.
    • Clients are responsible for providing site access, safe working conditions, and any required permits or approvals.
    • Delays or additional costs arising from restricted access, incomplete preparation, or unsafe conditions are chargeable to the client.

    7) Refurbished Equipment & Warranty

    • Refurbished items are tested, cleaned, and supplied with a 12-month limited hardware warranty unless otherwise stated in writing.
    • Warranty covers hardware defects under normal business use.
    • It does not cover software issues, accidental or liquid damage, misuse, or unauthorised repair.
    • Any warranty claim must be reported promptly upon discovery of the defect.
    • SmartTechHub may repair, replace, or refund the defective item at its sole discretion.

    8) Returns Policy

    • Returns are accepted only for verified defective goods or services not rendered in accordance with contract terms.
    • Goods must be returned in the same condition, with original packaging where possible.
    • Non-fault returns are accepted solely at SmartTechHub's discretion and may be subject to a restocking fee.

    9) IT Recycling & Data Destruction

    • All recycling, refurbishment, and data destruction services are conducted in accordance with HMG Infosec Standard 5 (Higher) and NIST 800-88 Rev.1 protocols.
    • SmartTechHub operates under the Environment Agency T11 Waste Exemption No. CBDU533513, authorising the treatment, reuse, and recovery of WEEE materials.
    • All data-bearing assets are securely sanitised or physically destroyed, with serial-number tracking and verification logs maintained.
    • Certificates of destruction and recycling are issued upon project completion.
    • Clients remain responsible for ensuring they hold valid title and authority to dispose of or transfer assets.

    10) Online Security & Acceptable Use

    • You may not misuse our website, attempt unauthorised access, interfere with security mechanisms, introduce malware, or extract data.
    • SmartTechHub employs robust network security measures including encryption, WAF protection, access controls, and ongoing monitoring.
    • Any detected malicious activity will result in access termination and may be reported to authorities.

    11) Confidentiality

    Both parties agree to treat as confidential all information disclosed in the course of a project and not to use or disclose it except as required to deliver the agreed services or by law. Confidentiality obligations survive termination of the agreement.

    12) Intellectual Property

    All intellectual property, designs, software, documentation, and materials provided by SmartTechHub remain our exclusive property unless otherwise agreed in writing. Clients receive a limited, non-exclusive licence to use deliverables solely for their internal business purposes.

    13) Limitation of Liability

    SmartTechHub does not exclude liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under UK law.

    Subject to the above:

    • We are not liable for indirect, consequential, or incidental loss, including loss of profit, revenue, or data.
    • Our total aggregate liability for any claim, whether in contract, tort, or otherwise, shall not exceed the total amount paid by the client for the specific goods or services giving rise to the claim.
    • Clients are responsible for backing up any critical data prior to service commencement.

    14) Anti-Bribery, Modern Slavery & Ethics

    SmartTechHub maintains a zero-tolerance policy toward bribery, corruption, and modern slavery, and complies with the Bribery Act 2010 and Modern Slavery Act 2015. We expect all partners, suppliers, and clients to uphold the same ethical standards.

    15) Force Majeure

    We are not liable for delays or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, power outages, supplier shortages, strikes, or cyber incidents.

    16) Termination

    • Either party may terminate a contract with written notice if the other party materially breaches its obligations and fails to remedy the breach within 14 days of written notice.
    • SmartTechHub may terminate immediately in the event of client insolvency, non-payment, or misuse of services.

    17) Governing Law & Jurisdiction

    These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the English courts.
